Terms of Service

1. Acceptance of Terms

By accessing or using INeedaBeat ("the Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Platform. We reserve the right to modify these Terms at any time, and such modifications will be effective immediately upon posting.

2. Description of Service

INeedaBeat is an online marketplace and platform that connects music creators, including but not limited to artists, producers, studios, videographers, and talent. Our services include:

  • Beat marketplace for buying and selling music productions
  • Studio booking and management tools
  • Videographer and talent directory and booking
  • AI-powered music production tools
  • Messaging and collaboration features
  • Payment processing and escrow services

3. User Accounts

3.1 Registration

To access certain features, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials. You agree to notify us immediately of any unauthorized use of your account.

3.3 Account Types

Users may register as Artists, Producers, Studios, Videographers, or Talent. Each account type has specific features and responsibilities as outlined in our platform documentation.

4. User Content

4.1 Ownership

You retain ownership of all content you upload to the Platform ("User Content"). By uploading content, you grant INeedaBeat a non-exclusive, worldwide, royalty-free license to use, display, and distribute your content solely for the purpose of operating the Platform.

4.2 Representations

You represent and warrant that you own or have the necessary rights to upload and license any content you post, and that your content does not infringe any third-party rights.

4.3 Prohibited Content

You agree not to upload content that:

  • Infringes intellectual property rights of others
  • Contains explicit or adult content without proper classification
  • Promotes violence, discrimination, or illegal activities
  • Contains malware or malicious code
  • Violates any applicable laws or regulations

5. Transactions and Payments

5.1 Platform Fees

For Studios: Listing and booking your studio on INeedaBeat is 100% free. Studios keep 100% of their listed prices.

For Customers: A $2 booking fee is applied at checkout to support the platform.

For beat sales and other services, platform fees may apply. Current fee structures are available in your account dashboard. We reserve the right to modify fees with 30 days notice.

5.2 Payment Processing

Payments are processed through third-party payment processors. By using our payment services, you also agree to their terms of service.

5.3 Refunds

Refund policies vary by transaction type. Digital downloads are generally non-refundable. Service bookings may be refunded according to the provider's cancellation policy.

6. Licensing

Beat licenses sold through the Platform are governed by the specific license agreement between the buyer and seller. INeedaBeat provides standard license templates but is not a party to individual licensing agreements. See our Licensing Rights page for more information.

7. Intellectual Property

The Platform, including its design, features, and content (excluding User Content), is owned by INeedaBeat and protected by intellectual property laws. You may not copy, modify, or distribute any part of the Platform without our express written consent.

8. Termination

We reserve the right to suspend or terminate your account at any time for violation of these Terms or for any other reason at our sole discretion. Upon termination, your right to use the Platform ceases immediately.

9. Disclaimers

THE PLATFORM IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE DO NOT GUARANTEE THAT THE PLATFORM WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE. WE ARE NOT RESPONSIBLE FOR THE ACTIONS OR CONTENT OF THIRD PARTIES OR OTHER USERS.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, INEEDABEAT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE PLATFORM.

11. Governing Law

These Terms shall be governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.
